Master Service Agreement

This Master Service Agreement (the "Agreement") governs access to and use of the Legaside platform provided by Municipal Labs LLC, a New Jersey limited liability company ("Municipal Labs"). By accessing or using the Platform, Customer agrees to be bound by this Agreement.

WHEREAS, Municipal Labs provides a web-based software platform, including the Legaside platform, that offers automation, classification, analytics, and data retrieval tools designed for use by governmental entities and public officials, including any related applications (the "Platform");

WHEREAS, Municipal Labs provides access to and use of the Platform, together with any related software, features, functionality, services, content, and tools, as made available under this Agreement (collectively, the "Services");

NOW THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:

1. Authority and Use by Authorized Users

This Agreement constitutes a binding agreement between Municipal Labs and the Customer and each Party represents and warrants that it has full power, legal right, and authority to enter into this Agreement and to perform its obligations hereunder.

Customer may authorize its employees, elected or appointed officials, contractors, or other personnel acting on its behalf and within the scope of their official duties or engagement with Customer to access and use the Platform (each, an "Authorized User"). Authorized Users may access and use the Platform solely on behalf of, and for the benefit of, Customer and strictly in accordance with the terms of this Agreement and Customer's applicable internal policies, procedures, and governance requirements.

Customer shall be responsible for all access to and use of the Platform under its account, including all acts and omissions of Authorized Users.

2. Eligibility and Permitted Use

Access to and use of the Platform is intended solely for official governmental use and may not be accessed or used by consumers or members of the general public. Customer is responsible for all access to and use of the Platform and Services under its account.

Customer represents, warrants, and covenants that it shall ensure that each Authorized User who accesses or uses the Platform:

  • is of legal working age and has the legal capacity to perform such Authorized User's official duties on behalf of Customer;
  • has been expressly authorized by Customer to access and use the Platform;
  • accesses and uses the Platform solely within the scope of such Authorized User's official role or responsibilities for Customer; and
  • accesses and uses the Platform in compliance with all applicable laws, regulations, governmental ethics rules, public-records requirements, and Customer's applicable internal policies.

3. Access and Use

The Platform is provided to Customer on a subscription basis (the "Subscription"), subject to this Agreement and Customer's payment of all applicable fees. In consideration of Municipal Labs's receipt of the applicable fees, Municipal Labs grants to Customer a limited, non-exclusive, non-transferable, revocable, non-sublicensable license, during the applicable Subscription term, to access and use the Platform solely for Customer's internal governmental and official purposes.

Customer Obligations:

  • Customer is responsible for obtaining internet access or other services necessary to use the Platform, including reasonable security practices on end-user devices.
  • Customer will restrict access to devices used to access the Platform and prevent unauthorized use of the Platform only through secure, encrypted connections.
  • Customer will be responsible for maintaining and updating its list of Authorized Users.
  • Customer will use reasonable measures to prevent unauthorized access to or use of the Platform.
  • Customer will use the Platform only in accordance with applicable laws and government regulations.

4. Intellectual Property

The Platform including the Legaside platform, and all software, code, algorithms, artificial intelligence models, workflows, interfaces, features, functionality, documentation, and other materials made available by Municipal Labs in connection with the Platform (collectively, the "Platform Technology") are protected by United States and international intellectual property laws.

Customer shall not (and Customer shall also ensure that Customer's personnel, Authorized User(s), and affiliates shall not):

  • copy, modify, adapt, translate, or create derivative works of the Platform Technology;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive source code;
  • claim any rights in the Platform other than its right to use the Services;
  • export or use the Platform in a manner that violates any applicable law;
  • intentionally interfere or disrupt Municipal Labs's servers or networks;
  • access or use the Platform to develop, benchmark, train, or support any competing product or service.

5. Customer Data

All data, communications, records, and information submitted to, processed through, or stored on the Platform on behalf of Customer, including constituent communications and related metadata ("Customer Data"), are provided by or on behalf of Customer. As between Municipal Labs and Customer, Customer retains all right, title, and interest in and to Customer Data.

Customer is solely responsible for:

  • informing Authorized Users of any applicable policies, practices, and Platform settings;
  • obtaining all rights, permissions, notices, and consents required for the lawful collection and processing of Customer Data;
  • ensuring that the transfer, storage, and processing of Customer Data through the Platform complies with applicable laws;
  • responding to and resolving any disputes relating to Customer Data; and
  • notifying Municipal Labs of any actual or suspected security incident.

6. Artificial Intelligence

The Platform utilizes automated and artificial intelligence-enabled technologies, including machine learning models and related systems (collectively, "AI Technology"), to assist Customer and Authorized User(s) in organizing, classifying, analyzing, and managing constituent communications and related information.

AI Technology is provided solely as an assistive tool. Municipal Labs does not make decisions on behalf of Customer, elected officials, or governmental entities and does not replace human judgment, review, or decision-making. Customer and Authorized Users remain solely responsible for reviewing, validating, and determining whether and how to use any outputs generated through the Platform.

Customer acknowledges that outputs generated by AI Technology may be incomplete, inaccurate, contextually limited, or otherwise imperfect. Municipal Labs makes no representations or warranties regarding the accuracy, completeness, reliability, or suitability of any AI-generated output.

Customer Data, including constituent communications, is not used to train proprietary or third-party artificial intelligence or machine learning models.

7. Confidentiality

"Confidential Information" means any non-public business, technical, financial, operational, or proprietary information disclosed by one party to the other party, that is either marked as confidential or proprietary, or reasonably should be understood to be confidential.

The Receiving Party agrees to:

  • Use the Confidential Information solely for purposes of performing its obligations under this Agreement;
  • protect the Confidential Information using the same degree of care it uses to protect its own confidential information;
  • limit access to Confidential Information to those who have a legitimate need to know.

8. Term and Termination

This Agreement shall commence on the Effective Date and shall continue until terminated. Either Party may terminate this Agreement at any time with or without cause upon written notice to the other Party.

Upon expiration or termination:

  • Customer shall immediately cease all use of the Platform.
  • Customer shall remain responsible for payment of all fees accrued through the effective date of termination.
  • Upon written request, Municipal Labs shall make Customer Data available for export in a commercially reasonable format.

9. Payments and Subscriptions

Customer's access to and use of the Services is subject to payment of fees. Customer agrees that Municipal Labs reserves the right to increase fees in their sole discretion at any time with notice before the next billing cycle.

Auto-Renewal: At the end of each billing cycle, the Subscription will automatically renew and the payment method will automatically be charged under the same conditions as the prior billing cycle unless Customer terminated this Agreement prior to the renewal date.

Payment obligations are non-cancelable, and fees paid are non-refundable and there are no credits for partially used subscription periods.

10. Disclaimer of Warranties

The Platform, the Services, and any data, content, analyses, outputs, recommendations, classifications, summaries, draft responses, automated or AI-assisted content, or other materials generated through the Platform are provided on an "AS IS" and "AS AVAILABLE" basis.

Municipal Labs hereby expressly and specifically disclaims all implied warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation on Liability

To the fullest extent permitted by applicable law, in no event shall Municipal Labs, its affiliates, or their respective licensors, service providers, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to this Agreement, the Platform, or the Services.

The aggregate liability of Municipal Labs for all claims shall not exceed the total amounts actually paid by Customer to Municipal Labs for the Services during the twelve (12) month period immediately preceding the event giving rise to the claim.

12. Indemnification

To the fullest extent permitted by applicable law, Customer shall defend, indemnify, and hold harmless Municipal Labs, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any third-party claims arising out of or relating to Customer's or any Authorized User's access to or use of the Platform or Services in violation of this Agreement or applicable law.

13. Governing Law

This Agreement and any dispute arising out of or relating to this Agreement, the Platform, or the Services shall be governed by and construed in accordance with the laws of the state or other jurisdiction in which the applicable Customer resides or is legally organized or constituted.

14. Entire Agreement

This Agreement, together with the Data Processing Agreement and Privacy Policy, constitute the entire agreement between Customer and Municipal Labs with respect to Customer's access to and use of the Platform and Services.
